Terms and Conditions
DEFINITIONS
BUYER - The person who buys or agrees to buy the goods from the Seller.
CONDITIONS - The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Seller.
GOODS - The article which the Buyer agrees to buy from the Seller.
PRICE - The price for the Goods, excluding VAT (where applicable) and any carriage and packaging costs.
SELLER - Means Pia Rossini Ltd of 7 Balloo Way, Bangor, BT19 7QZ
By placing a Pia Rossini order, you are signifying your awareness and approval of these terms and conditions.
Minimum Order & Quantities
The minimum order accepted for any PO that requires remedial work to be carried out on the Pia Rossini standard packaging will be £500 nett. Please contact Pia Rossini for any specific queries regarding minimum quantities and orders.
Holding of Stock / Stock Guarantees
Pia Rossini will hold stock of an item only upon receipt of a confirmed PO. Any cancellation of a PO for which stock has been held will not be accepted. Any reviews of quantities held would need to be discussed and agreed with Pia Rossini.
Samples
Any samples will be charged at list price (before any discount is applied) and must be paid Pro-forma unless otherwise agreed. Any samples returned in saleable condition will be considered for credit upon inspection by our warehouse.
Exclusivity of Product
Exclusivity of any product is only available for Private Label items and is dependent on the quantity ordered. Contact Pia Rossini for more information on this service.
Delivery Terms
Any booking in or delivery procedures must be given to Pia Rossini in advance of confirmation of the PO to ensure these have been approved and agreed.
Palletized Deliveries & Carton Size
Any PO over 10 boxes will normally be delivered on a pallet. The pallet will be shrink-wrapped and labelled with the delivery address. The Pia Rossini standard carton size is 59x49x49cm. If the Buyer has a specific carton size request, this can be reviewed before confirmation of the PO.
Returns Policy & Sale or Return
Sale or return is not permitted or authorized by Pia Rossini on any purchase order.
The Buyer will have 14 days from the date of dispatch (date on invoice) to inspect and confirm delivery of all items on the PO. Any shortages or products delivered in error must be reported within this date period.
All returns must be authorised by the Customer Service before being sent back. Upon informing the Seller of the Buyer’s desire to return items, the Seller will issue the Buyer with a returns authorisation form, which must be completed and returned via email, fax or post before any items are sent back to Pia Rossini.
Payment Terms
Payment Terms are payment within 30 Days from date of Invoice, unless otherwise stated.
Discount
Any discount offered by Pia Rossini will be reviewed per account based on quantity ordered and any remedial work required to the goods.
Retention of Title & Risk
Risk shall pass on delivery of the Goods to the Buyer’s address. Notwithstanding the earlier passing of risk, title in the Goods shall remain with the Seller and shall not pass to the Buyer until the amount due under the invoice for them (including any interest and costs) has been paid in full.
If the Buyer goes into Administration or files for Bankruptcy all stock should be returned to the Seller.
Until title passes, the Buyer shall hold the Goods for the Seller and shall store or mark them so that they can at all times be identified as the property of the Seller.
The Seller may at any time before title passes and without any liability to the Buyer repossess and dismantle and use or sell all or any of the Goods and by doing so terminate the Buyer’s right to use, sell or otherwise deal in them: and for that purpose (or determining what if any Goods are held by the Buyer and inspecting then) enter any premises of or occupied by the Buyer.
The Seller may maintain an action for the price of any Goods notwithstanding that title in them has not passed to the Buyer
All Monies for all Goods sold by Pia Rossini to the Buyer must be paid back, and no Charges will be created for the Buyer to trace the proceeds of the sale of any Pia Rossini Goods. If Goods have been forwarded to multiple addresses by the Buyer, the obligation of the Buyer will be to provide full details of where this stock is and the quantity of pieces, and no charge will be created by them for this.
